The Proprietor Board of St Catherine's College is Whānau Mercy Education Limited. Whānau Mercy Education Limited is also the Proprietor of St Mary’s College. The directors of the Proprietor Board represent Whānau Mercy Ministries (Ngā Whaea Atawhai o Aotearoa Sisters of Mercy New Zealand) as partners in their mission. The Proprietor Board is responsible, under the Private Schools Conditional Integration Act 1975 (which commonly referred to as the Integration Act), for two key areas relating to the college: 

• Supervising, preserving and safe-guarding the Special Catholic Character and Mercy Charism of the college; and
• Developing and implementing the strategy for the capital works and maintenance of the college (land and buildings).

The board meets monthly and the principals of both Colleges attend the meetings.
